

Propworx and Universal Network Television are presenting The Battlestar Galactica Auction at the Pasadena Convention Center on Jan. 17-18, 2009 (“BSG Auction”), which will be webcast live on the Auction Network website (www.auctionnetwork.com). We’re looking for two Battlestar Galactica fans to be commentators during the auction. This is a unique opportunity to show your stuff as a Battlestar Galactica trivia expert and on-air personality.
These are the final official rules for the online aspects of the contest.
1. What is the Battlestar Galactica Fan Commentator Casting Call Contest?
We thought that it would be fun to let Battlestar Galactica fans audition to be commentators during the live BSG auction.
So, we will be accepting video performances of BSG fans showing their stuff and selecting our favorite two (2) contestants as the official “fan commentators” for the live BSG auction.
Participants may alternatively submit an entry by auditioning in person on Dec. 30 from 10am to 2pm on the patio of the Café Tu Tu Tango Restaurant, located at 100 Universal City Plaza in Universal City, California. These performances will be videotaped and included among the contest submissions for the judges’ consideration.
Each confirmed winner will receive complementary travel and accommodations and a $500 per diem.
2. How do I enter the Contest?
• Go to our dedicated contest site [www.youtube.com/group/ANBattlestarContest] and follow the instructions to register and upload your video.
• Registration as a participant means that you accept these official rules in their entirety.
• The videos of eligible participants will be posted on the contest site and Auction Network YouTube channel, subject to various restrictions, including: no sexually explicit, disparaging, defamatory, libelous, hate or other inappropriate content or any nudity is acceptable; all contents of the video, including music, must be original; no use of third-party copyrighted materials, including music, will be permitted, unless you have written permission to do so; the content must not contain brand names, trademarks or personally identifiable information; and anyone included in your video must have given you written permission to appear in your video.
3. How does the Contest Work?
• December 22, 2008: Begin accepting submissions at 12:01am CMT.
• January 5th, 2009: Last day; all video submissions are due by 11:59pm CMT.
• January 7th, 2009: Winners announced.
4. What are you looking for?
• Execution of BSG Prop Commentary: Where and how props fit-in to the series.
• BSG Knowledge: General BSG trivia expertise.
• Verbal Skills: Ability to articulate your thoughts and deliver commentary clearly).
• Poise/Camera Presence: Audience appeal.
5. What are your eligibility requirements?
• You must be a legal resident of the United States (including Washington D.C.).
• You must be at least 18 of age or have reached the age of majority in your jurisdiction of residence, whichever is greater.
• There are also the customary prohibitions against participation by employees and other related parties as described in more detail in the official rules below.
6. What are the guidelines for my submission?
• You may submit the following digital file formats: .AVI, .MOV, .WMV or .MPG.
• Must have a frame rate of 30 frames per second
• Must have a resolution of 640 x 480 pixels
• Maximum total running time: 5 Minutes (0:05:00)
• Must be in English
• Must adhere to the YouTube Terms of Use (http://www.youtube.com/t/terms) and YouTube's Community Guidelines (http://www.youtube.com/t/community_guidelines) - collectively the “YouTube Terms and Conditions”.
1. CONTEST DESCRIPTION:
The Auction Network Battlestar Galactica “Fan Commentator Casting Call” Contest ("the Contest") is a talent-oriented competition in which participants will audition to be “fan commentators” during the live Battlestar Galactica auction presented by Propworx and Universal Network Television at the Pasadena Convention Center, in California, on January 17-18, 2009 (“BSG Auction”), which will be webcast live on the Auction Network web site (www.auctionnetwork.com - the “Auction Network Web Site”). The two (2) confirmed winners will receive complementary travel and accommodations, and a $500 per diem in connection with their participation in the BSG Auction, as Sponsor shall determine in its sole discretion.
Participants will be invited to submit a video (a "Submission") to the Sponsor demonstrating their qualifications as BSG-related commentators. Participants submitting videos are referred to herein as a "Contest Entrant" or a "Participant". Qualified video Submissions will be posted on the Contest Site and rated by a panel of judges (see “Award Election Process” below) assembled by the Sponsor. The Contest begins at 12:01 AM CMT on December22, 2008 and ends on January 7, 2009, when the two (2) winners will be announced. The deadline for Submissions is January 5, 2009 at 11:59 PM CMT. The Participants selected by the judges as the winners will be subject to verification and compliance with the Official Rules as described below.
Participation in this Contest constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and the Judges’ decisions, which are final and binding in all matters related to this Contest. In the event there is a conflict between the YouTube Terms and Conditions and these Official Rules with regard to this Contest, these Official Rules shall prevail. Winning an award is contingent upon fulfilling all requirements set forth herein. The Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.
2. ELIGIBILITY:
This Contest is open to legal residents of the United States (including Washington D.C.) who are at least eighteen (18) years of age or have reached the age of majority in his/her jurisdiction of residence, whichever is greater, and is legally able to enter into a contest as contemplated herein. Employees and agents of Sponsor, YouTube, LLC, Propworx, Inc. and Universal Network Television, their affiliates, parent, subsidiaries, advertising and promotion agencies, any other award sponsor, and any entity involved in the development, production, implementation, administration or fulfillment of the Contest (all of the foregoing collectively referred to as "Promotion Entities"), and their immediate family members (spouse, parents, siblings and children) and/or those living in the same household of such persons, whether related or not, are not eligible to enter the Contest.
3. HOW TO REGISTER AND SUBMIT A CONTEST ENTRY:
Any individual wishing to participate in the Contest must first register to participate, thereby becoming an eligible Participant. Registration is free and available at the dedicated contest page on the Auction Network YouTube channel [www.youtube.com/user/AuctionNetwork] (the "Contest Site"). When you come to the Contest Site, follow the simple instructions to create or log in to your YouTube account (the "Account"). Once logged in to your Account, follow the instructions to complete the registration and upload your Submission. By uploading your Submission, you agree that your Submission conforms to these Official Rules and all related content restrictions as defined below; that you accept and agree to be bound by these Official Rules, including the decisions of the judges and the Sponsor which are final and binding in all respects; and that Sponsor may reject or remove your Submission and disqualify you from the Contest if it believes, in its sole discretion, that your Submission fails to conform to these Official Rules. You may submit one (1) Submission during the term of the Contest. Submissions generated by script, macro or other automated means are void. Any individual who attempts to register, or in the sole discretion of Sponsor is suspected of registering more than once, by any means, will be disqualified from the Contest. Sponsor shall not be responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, delayed or misdirected submissions; all of which will be void. You must complete the registration process and upload your Submission no later than 11:59 P.M. (CMT) on January 5, 2009.
4. SUBMISSION GUIDELINES:
All Submissions: (a) must not exceed 5 minutes total running time; (b) must be formatted and encoded in digital .AVI, .MOV, .WMV or .MPG file formats, not exceed a total running time of 5 minutes, have a frame rate of 30 frames per second, have a resolution of 640 x 480 pixels, and otherwise comply with the requirements set forth at the Contest Site; (c) must be in English; (d) must not contain brand names, trademarks or personally identifiable information; (e) must contain only content that, in the sole and unfettered discretion of the Sponsor, is suitable for general audiences; (f) must not, in the sole and unfettered discretion of the Sponsor, contain any sexually explicit, obscene, disparaging, slanderous, libelous, hate or other inappropriate content or any nudity; (g) must not, in the sole discretion of Sponsor, contain any commercial content that disparages any person, product or service; (h) must not contain any third-party copyrighted works (unless supported by the written consent of the owner in each instance) or material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement; and (i) anyone included in your video must have given you written permission to appear in your video. Any elements appearing in your Submission, including without limitation music, audio, stills, video, supers, or other audiovisual materials (collectively, "Elements") must be entirely original, created and performed by you, be in the public domain or supported by the written consent of the owner in each instance. Use of any Elements or other materials that are not original, in the public domain or for which you do not have written consent may result in disqualification of the Submission, in Sponsor's sole discretion.
5. CONDITIONS OF CONTEST ENTRY:
Each Contest Entrant retains ownership of any Submission he/she enters into the Contest. However, as conditions of entry into and participation in the Contest, each Contest Entrant:
WARRANTS AND REPRESENTS THAT THE CONTEST ENTRANT OWNS ALL RIGHTS TO THE VIDEO HE/SHE IS SUBMITTING, INCLUDING, WITHOUT LIMITATION, THE VIDEO OR DIGITAL RECORDING, AND THE PERFORMANCE CONTAINED IN SUCH VIDEO (COLLECTIVELY, THE "CONTEST ENTRY MATERIALS");
WARRANTS AND REPRESENTS THAT THE CONTEST ENTRANT IS THE INDIVIDUAL PICTURED AND HEARD IN THE RECORDING AS THE PARTICIPANT;
WARRANTS AND REPRESENTS THAT: HIS/HER CONTEST ENTRY MATERIALS ARE ORIGINAL AND HAVE BEEN LEGALLY OBTAINED AND CREATED, AND DO NOT INFRINGE THE INTELLECTUAL PROPERTY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY;
irrevocably grants to Promotion Entities and their affiliates, legal representatives, assigns, agents and licensees, the worldwide, royalty-free, non-exclusive, sub-licensable, unconditional, perpetual and transferable right and license to copyright (only as applicable), reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the Entrant's name, image, voice, likeness, statements, biographical material and the Contest Entry Materials, including, but not limited to, the video or digital recording and performances contained in any of the above items, as well as any additional photographic images, video images, portraits, interviews or other materials relating to the Entrant and arising out of his/her participation in this Contest (with or without using the Entrant's name) (collectively, the "Additional Materials") (in each case, as submitted or as edited/modified in any way, whether by the Promotion Entities, their licensees, or assigns, in the Promotion Entities' sole discretion) in any and all media now known or hereafter devised throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from the Entrant or any other party;
irrevocably grants to Promotion Entities and their affiliates, legal representatives, assigns, agents and licensees, the worldwide, royalty-free, non-exclusive, sub-licensable, unconditional, perpetual and transferable right and license to permit: (i) the public to have access to the Contest Entry Materials through the Contest Site and any affiliated site(s) (ii) Judges to rate, review, comment on and tag the Contest Entry Materials and the individual performances contained therein; (iii) the Sponsor to embed a media player with the Contest Entry Materials on third party web sites, (iv) Participants to send and distribute the Contest Entry Materials via e-mail or instant messenger on the Contest Site and any affiliated web sites; (v) The Sponsor to access the Contest Entry Materials via Sponsor's web service APIs or via RSS or any similar XML or related feeds; and (vi) the Sponsor to otherwise use, reproduce, distribute, remix, prepare derivative works of and compilations, display and perform the Contest Entry Materials as the Promotion Entities determine in their sole discretion.
forever waives any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude Promotion Entities' use of the entrant's Contest Entry Materials or Additional Materials, or require the Contest Entrant's permission for Promotion Entities to use them for any purpose, including, without limitation, promotional purposes, and agrees to never sue or assert any claim against the Promotion Entities' use of those Materials;
agrees to release and hold harmless the Promotion Entities and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any award;
acknowledges and agrees that (a) Sponsor has access to and/or may create or have created literary, film, tape and/or other materials, ideas and concepts which may be similar or identical to the Contest Entry Materials in theme, idea, plot, format, characters and/or other respects; (b) the Contest Entrant will not be entitled to any compensation or other consideration because of the use by Sponsor of any such similar or identical material, ideas and/or concepts; and (c) Sponsor's use of material containing elements similar to or identical with those contained in the Contest Entry Materials or any Submission shall not obligate Sponsor to negotiate with nor entitle Participant to any compensation or other claim; and agrees to indemnify and hold the Promotion Entities and their respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Promotion Indemnitees"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Promotion Indemnitees arising out of or in connection with (a) any Contest Entry Materials or Additional Materials (including, but not limited to, any and all claims of third parties, whether or not groundless, based on the submission of such other material); (b) any breach by Entrant of any warranty, agreement or representation contained in the Official Rules or terms of service or in any documentation submitted by Participant; (c) the entrant's conduct during and in connection with this Contest, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation; or (d) the acceptance of any award.
6. SPONSOR'S RIGHT TO DISQUALIFY:
At any time during the Contest, Sponsor reserves the right, in its sole and unfettered discretion, to disqualify and remove any Submission that it believes contains any inappropriate content, infringes the rights of any third party, or otherwise does not meet any other requirements in these Official Rules. The decisions of the Sponsor on this and all matter relating to the Contest are final and binding.
7. AWARD ELECTION PROCESS:
All eligible Submissions and the performances contained therein will be judged by a panel consisting of editors and media staff selected by the Sponsor (the "Judges"), who will rate and select the winners based on the Judging Criteria (defined below). Sponsor reserves the right to select fewer than the awards described herein in the event there is an insufficient number of eligible or otherwise appropriate entries in the Contest. The Judges will rate the Submissions on a 1-10 point scale rating with 1 point being the lowest score and 10 points being the highest score (1-Unaceptable 5-Average 10-Outstanding), based on the following equally weighted criteria: (1) execution of BSG prop commentary - where and how props fit-in to the series, (2) BSG knowledge - general BSG trivia expertise, (3) verbal skills - ability to articulate your thoughts and deliver commentary clearly, and (4) poise/camera presence - audience appeal (the "Judging Criteria"). If any potential winner fails to comply with the Sponsor's registration, transactional/verification process and/or eligibility requirements for the Contest, that potential winner will be disqualified. Particularly, the Auction Network Release Agreement and Verification of ID/Age must be fully completed and returned to Sponsor, or the potential winner will be disqualified. An alternate potential winner may be selected, in rank order, from among the remaining Entrants, if time permits, and if any qualified Entrants remain, subject to the same eligibility and transactional/verification requirements described in these Official Rules. Potential winners which are disqualified for any reason will not be entitled to any form of compensation or consideration, and any and all rights to further participation or any award in this competition will be forfeited. The winners will receive the awards indicated above. Awards consist of only those items specifically listed herein as part of the award. All federal, state and local taxes on awards are the sole responsibility of the winner.
8. GENERAL RULES:
The Contest is governed by and subject to the laws of the United States. All federal, state and local laws and regulations apply. Void where prohibited by law. All winners will receive an IRS 1099 for the value of their cash awards. By participating in the Contest and/or accepting any award, participants grant permission to Sponsor and its advertising and promotion agencies to use their name, likenesses, Submissions and any other material submitted in connection with the Contest for purposes of advertising, publicity and promotion purposes, without further compensation to Entrant, unless prohibited by law. Participants agree to be bound by the Official Rules and the decisions of the Judges, which are final and binding on all matters relating to the Contest. Sponsor is not responsible for any typographical or other errors in the printing of the offer, administration of the Contest or the announcement of the awards, or for lost, late, misdirected, damaged, incomplete or illegal entries.
Sponsor reserves the right at its sole discretion to disqualify the Contest Entry of any individual found to be (a) tampering or attempting to tamper with the entry process or the operation of the Contest or any Sponsor website; (b) violating the Official Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Sponsor property or service, or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Further, Sponsor reserves the right to disqualify any entry which, in Sponsor's sole opinion, is deemed to be offensive, libelous, slanderous, inflammatory, or otherwise inappropriate in any way for this Contest. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
9. LIMITATIONS OF LIABILITY:
The Promotion Entities assume no responsibility for any computer, online, telephone transmission or technical malfunctions that may occur during participation in the Contest (including, without limitation, the voting phase of the Contest), or for theft, destruction or unauthorized access to, or alteration of, Contest Entry Materials or Judges’ determinations. Promotion Entities are not responsible for any incorrect or inaccurate information, whether caused by website users, Participants or any of the equipment or programming associated with or utilized in the Contest; or for any technical or human error which may occur in the processing of submissions or votes in the Contest. Promotion Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing (including but not limited to any such problems which may result in the inability to access the Contest Site or to submit Entry Materials in connection with the Contest). Promotion Entities are not responsible for any injury or damage to participants or to any computer related to or resulting from participating or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Promotion Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest and select winners from among that portion of the Contest that has not been compromised, if any.
10. DISPUTES/GOVERNING LAW:
Except where prohibited, as a condition of participating in this Contest, Participant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Contest, or any award awarded, or the determination of winners shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will Participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-pocket expenses (e.g., costs associated with entering this Contest), and Participant further waives all rights to have damages multiplied or increased.
All issues and questions rights and obligations of Participant in connection with this Contest shall be governed by, and construed in accordance with, the laws of the State of Oklahoma or United States District Court for the Northern District of Oklahoma, in the city of Tulsa, and the parties hereto irrevocably submit to the jurisdiction of each such court in any action or proceeding, without giving effect to the conflict of laws rules thereof and any matters or proceedings which are not subject to arbitration as set forth in these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the State of Oklahoma, City of Tulsa.
The parties waive rights to trial by jury in any action or proceeding instituted in connection with these Official Rules and/or this Contest. Any controversy or claim arising out of or relating to these Official Rules and/or this Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of Oklahoma, City of Tulsa, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.
