· ACKNOWLEDGING THE PRIOR USE OF THE PROPERTY AND THE AREAS AROUND THE PROPERTY AND BUYER'S OPPORTUNITY TO INSPECT THE PROPERTY, BUYER AGREES TO TAKE THE PROPERTY "AS IS," "WHERE IS," AND WITH ALL FAULTS AND CONDITIONS THEREON, NOW OR HEREAFTER EXISTING, WHETHER KNOWN OR UNKNOWN. BUYER SHALL NOT RELY ON ANY INFORMATION, REPORTS, STATEMENTS, DOCUMENTS OR RECORDS PROVIDED BY OR ON BEHALF OF SELLER OR ITS AGENTS OR EMPLOYEES, BUT RATHER, BUYER SHALL RELY ONLY ON ITS OWN INSPECTION OF THE PROPERTY OR INVESTIGATIONS THEREOF. BUYER ACKNOWLEDGES AND AGREES THAT SELLER HAS NOT MADE, DOES NOT MAKE AND SELLER SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES, PROMISES, COVENANTS, AGREEMENTS OR GUARANTIES OF ANY KIND OR CHARACTER WHATSOEVER, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, PAST, PRESENT OR FUTURE, OF, AS TO, CONCERNING OR WITH RESPECT TO: (A) THE NATURE, QUALITY OR CONDITION OF THE PROPERTY, INCLUDING, WITHOUT LIMITATION, THE WATER, SOIL AND GEOLOGY; (B) THE INCOME TO BE DERIVED FROM THE PROPERTY INCLUDING, BUT NOT LIMITED TO, BUYER'S USE OF THE PROPERTY; (C) THE SUITABILITY OF THE PROPERTY FOR ANY AND ALL ACTIVITIES AND USES WHICH BUYER MAY CONDUCT THEREON; (D) THE COMPLIANCE OF OR BY THE PROPERTY OR ITS OPERATION WITH ANY LAWS, RULES, ORDINANCES OR REGULATIONS OF ANY APPLICABLE GOVERNMENTAL AUTHORITY OR BODY; (E) THE HABITABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE PROPERTY; (F) THE ACTUAL ACREAGE CONTAINED WITHIN THE PROPERTY; (G) ANY OTHER MATTER WITH RESPECT TO THE PROPERTY; (H) HAZARDOUS MATERIALS IN, ON OR ABOUT THE PROPERTY; OR (I) ANY AND ALL WARRANTIES WITH RESPECT TO THE CONDITION OF THE PROPERTY UNDER LA. CIVIL CODE ART. 2475, AND ANY AND ALL WARRANTIES WHATSOEVER UNDER LA. CIVIL CODE ARTS. 2477 THROUGH 2548 OR ANY OTHER PROVISION OF LAW.
· BUYER (I) REPRESENTS TO SELLER THAT BUYER HAS CONDUCTED OR HAS HAD THE OPPORTUNITY TO CONDUCT OR WILL CONDUCT PRIOR TO THE CLOSING, SUCH INVESTIGATIONS OF THE PROPERTY IN ACCORDANCE WITH THE TERMS OF THIS AGREEMENT, INCLUDING, BUT NOT LIMITED TO, THE PHYSICAL AND ENVIRONMENTAL CONDITIONS THEREOF, AS BUYER DEEMS NECESSARY OR DESIRABLE TO SATISFY ITSELF AS TO THE CONDITION OF THE PROPERTY AND THE EXISTENCE OR NON EXISTENCE OF, OR CURATIVE ACTION TO BE TAKEN WITH RESPECT TO, ANY HAZARDOUS MATERIALS OR TOXIC SUBSTANCES ON OR DISCHARGED FROM THE PROPERTY, AND (II) COVENANTS THAT BUYER SHALL RELY SOLELY UPON SAME AND NOT UPON ANY INFORMATION PROVIDED BY OR ON BEHALF OF SELLER OR ITS AGENTS OR EMPLOYEES, INCLUDING, WITHOUT LIMITATION, THE DUE DILIGENCE MATERIALS, WITH RESPECT THERETO. UPON THE CLOSING, BUYER SHALL ASSUME THE RISK THAT ADVERSE MATTERS, INCLUDING, BUT NOT LIMITED TO, ADVERSE PHYSICAL AND ENVIRONMENTAL CONDITIONS, MAY NOT HAVE BEEN REVEALED BY THE BUYER'S INVESTIGATIONS, AND BUYER, UPON CLOSING, SHALL BE DEEMED TO HAVE WAIVED, RELINQUISHED AND RELEASED SELLER AND THE OTHER SELLER INDEMNIFIED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION (INCLUDING CAUSES OF ACTION IN TORT), LOSSES, DAMAGES LIABILITIES, COSTS AND EXPENSES (INCLUDING ATTORNEYS' FEES) OF ANY AND EVERY KIND OR CHARACTER, KNOWN OR UNKNOWN, WHICH BUYER MIGHT HAVE ASSERTED OR ALLEGED AGAINST SELLER OR ANY OTHER SELLER INDEMNIFIED PARTY AT ANY TIME BY REASON OF, OR ARISING OUT OF, ANY LATENT OR PATENT PHYSICAL CONDITIONS, REDHIBITORY OR OTHER VICES OR DEFECTS, VIOLATIONS OF ANY APPLICABLE LAWS AND ANY AND ALL OTHER ACTS, OMISSIONS, EVENTS, CIRCUMSTANCES OR MATTERS REGARDING THE PROPERTY OCCURRING ON OR EXISTING PRIOR TO OR AFTER THE CLOSING.
· WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, BUYER FOR ITSELF, THE OTHER BUYER PARTIES AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS HEREBY IRREVOCABLY WAIVES AND RELEASES SELLER AND THE OTHER SELLER INDEMNIFIED PARTIES FROM ANY AND ALL CONSEQUENTIAL DAMAGES WHICH THE RELEASING PARTIES AND ANY OF THEM MIGHT NOW OR HEREAFTER OTHERWISE HAVE A RIGHT TO CLAIM FROM SELLER OR ANY OF THE OTHER SELLER INDEMNIFIED PARTIES. TO THE EXTENT BUYER HAS ANY STATUTORY RIGHTS WHICH CONFLICT WITH ANY PROVISIONS OF THIS AGREEMENT, BUYER HEREBY WAIVES SUCH STATUTORY RIGHTS TO THE FULLEST EXTENT PERMITTED BY LAW.
